Ralph Winter is a corporate and transactional attorney. Mr. Winter’s practice emphasizes mergers and acquisitions, venture capital, equity and debt financings, joint ventures and general corporate representation. He assists investment groups and individuals in investment and sale activities. Mr. Winter also represents businesses with negotiating intellectual property license agreements, distribution agreements, manufacturing agreements, buy-sell agreements, option and compensation agreements, and other business contracts.
Mr. Winter represents clients during all stages of their activities beginning with formation, assisting with growth and financing transactions, and facilitating acquisitions and sales. Mr. Winter has extensive experience working with companies in a wide-range of industries including actions sports, apparel, technology, media, software, finance, restaurants, consumer products, food and beverage, retail and manufacturing.
Prior to joining Call & Jensen, Mr. Winter was the president and general counsel for a business management company and affiliated businesses with operations in the food and beverage, real estate, health and fitness, art and design, and investment industries. For over eleven years, Mr. Winter was the managing partner and co-founder of the law firm Hodel Briggs Winter LLP where he specialized in corporate and securities laws. Before forming Hodel Briggs Winter LLP, Mr. Winter was a partner in the Securities and Capital Markets practice group of Paul Hastings LLP.
